Terms of Service

1. Acceptance of Terms

By accessing or using FSC Audit Pro ("the Service"), operated by FSC Audit Pro ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

FSC Audit Pro is a B2B SaaS platform that provides AI-powered quality control auditing for foodservice design and construction documents. The Service analyzes plan drawings, equipment specifications, and manufacturer cutsheets to identify conflicts, verify compliance, and recommend best practices.

3. Account Registration

To use the Service, you must:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Be at least 18 years of age
• Promptly notify us of any unauthorized use of your account

The first user registered for a company is designated as the company administrator. You are responsible for all activity under your account. Multiple authorized users within a company may use the Service concurrently under a shared subscription, under their own account. Concurrent processing on the same account session is not supported.

4. Subscription and Payment

Access to the Service requires a paid subscription. By subscribing, you agree to the following:

• Subscription fees are billed in advance on a recurring basis through Stripe
• You authorize us to charge your payment method for all applicable fees
• Subscription will automatically renew unless cancelled 7 days before the renewal date
• Cancellations are not entitled to an automatic refund. Refunds are handled on a case-by-case basis at our discretion. Cancellations of annual subscriptions will be billed at the prevailing monthly price, pro-rated to the next full month.
• We reserve the right to modify pricing with 30 days' advance notice

5. Acceptable Use

Your use of the Service is subject to our Acceptable Use Policy. You agree not to misuse the Service or assist anyone else in doing so.

6. Intellectual Property

Your Content: You retain all ownership rights to documents you upload. We do not claim any intellectual property rights over your content.

Our Service: The Service, including its design, software, algorithms, and documentation, is owned by FSC Audit Pro and protected by intellectual property laws.

Audit Reports: Reports generated by the Service are provided to you for your use. You may distribute them to your clients and stakeholders as needed.

7. Data Privacy

Your use of the Service is also governed by our Privacy Policy. Your uploaded documents are confidential and will not be used to train AI models or for any purpose other than generating your audit reports.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. We do not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free
• Audit results will be 100% accurate or complete
• The Service will meet all of your specific requirements

Audit reports are intended as a professional aid and do not replace the judgment of licensed architects, engineers, or code officials. Users should independently verify critical findings.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FSC AUDIT PRO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE. Our total liability shall not exceed the amount you paid for the Service in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless FSC Audit Pro, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or our Acceptable Use Policy. Upon termination, you may request a copy of your audit reports within 30 days. After 30 days following termination, your account data and generated reports may be permanently deleted. Note that uploaded documents (PDFs) are automatically deleted immediately upon completion of audit processing and are not retained.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service at least 30 days before they take effect. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in San Francisco County, California.
